These Terms of Service (“Terms”) govern your access to and use of the GENESIS AI personal assistant platform, including the website at mygenesis.app, the mobile application, and all related services (collectively, the “Service”) operated by Genesis LLC (“GENESIS,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using GENESIS, you represent and warrant that you meet these requirements.

2. Account Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • Each GENESIS account is for a single individual. Account sharing is not permitted.

3. Description of Service

GENESIS is an AI-powered personal assistant designed for entrepreneurs and business professionals. The Service includes:

  • AI chat and voice assistant (text and voice interactions)
  • Task management, scheduling, and proactive reminders
  • Email triage, CRM, invoicing, and business intelligence tools
  • Integrations with third-party applications via authorized connections
  • SMS notifications, reminders, and two-way conversational messaging
  • Voice calls made on your behalf with your explicit authorization
  • Proactive intelligence including morning briefings, meeting prep, follow-ups, and pattern detection
  • Memory and learning capabilities that personalize the experience over time

4. Subscription and Payments

  • GENESIS offers multiple subscription tiers (Free, Starter, Pro, Business, Enterprise) with varying features and usage limits.
  • Paid subscriptions are billed monthly or annually through Stripe.
  • You authorize us to charge your payment method for recurring subscription fees.
  • You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period.
  • Refunds are handled on a case-by-case basis. Contact [email protected] for refund requests.
  • We reserve the right to change pricing with 30 days’ notice. Existing subscribers will be notified before any price changes take effect.

5. SMS and Voice Communication Terms

  • By opting in to SMS, you consent to receive text messages from GENESIS at the phone number you provide. These include verification codes, notifications, reminders, briefings, and conversational AI responses.
  • Message frequency varies based on your usage and notification settings.
  • Message and data rates may apply depending on your wireless carrier and plan.
  • You can opt out at any time by replying STOP to any message or disabling SMS in your account settings.
  • Reply HELP for customer support information.
  • SMS is provided via Twilio. Carrier terms and conditions apply.
  • GENESIS may place voice calls on your behalf to contacts and businesses using your explicit authorization. You are responsible for ensuring you have the right to initiate such calls.
  • We are not responsible for any charges incurred from your wireless carrier related to SMS or voice services.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to harass, abuse, threaten, or harm others
  • Transmit malware, viruses, or other harmful code
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to send spam, unsolicited messages, or bulk communications
  • Impersonate another person or entity
  • Use the Service to make calls or send messages for telemarketing, fraud, or deceptive purposes
  • Circumvent any usage limits, rate limiting, or security measures
  • Use the Service in a way that could damage, disable, or overburden our infrastructure
  • Share your account credentials or allow others to access your account

7. AI Limitations and Disclaimers

  • GENESIS uses artificial intelligence to provide assistance. AI responses may occasionally be inaccurate, incomplete, or inappropriate.
  • GENESIS is not a substitute for professional advice. Do not rely on GENESIS for medical, legal, financial, tax, or other professional advice. Always consult qualified professionals for important decisions.
  • GENESIS does not provide investment advice or execute financial trades.
  • We strive for accuracy but cannot guarantee that all AI-generated content is error-free.
  • GENESIS may learn and adapt based on your interactions. You can manage or delete these memories at any time.
  • Actions taken by GENESIS on your behalf (sending messages, creating tasks, managing calendars, etc.) are initiated based on your instructions. Please review important actions before confirming.

8. Third-Party Integrations

  • GENESIS connects to third-party services (Google, Microsoft, Slack, etc.) using OAuth authorization that you explicitly grant.
  • We are not responsible for the availability, accuracy, or policies of third-party services.
  • You are responsible for complying with the terms of service of any third-party services you connect.
  • You may disconnect any integration at any time through your account settings.
  • Third-party service outages or changes may temporarily affect GENESIS functionality.

9. Intellectual Property

  • The Service, including its software, design, text, graphics, and AI models, is owned by Genesis LLC and protected by intellectual property laws.
  • You retain ownership of all content you create or provide through the Service.
  • By using the Service, you grant us a limited license to process your data solely for the purpose of providing and improving the Service.
  • We do not claim ownership of your data, conversations, or any content you produce using GENESIS.

10. Privacy

Your use of the Service is also governed by our Privacy Policy at https://meetgenesis.ai/privacy, which is incorporated into these Terms by reference.

11. Termination

  • You may terminate your account at any time by contacting [email protected] or using the account deletion feature.
  • We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay subscription fees.
  • Upon termination, your data will be deleted within 30 days in accordance with our Privacy Policy. You may request a data export before termination.
  • Sections that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will continue to apply.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENESIS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Indemnification

You agree to indemnify and hold harmless Genesis LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Dispute Resolution

  • Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
  • Arbitration shall take place in Delaware, USA, unless otherwise agreed.
  • You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
  • Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

17. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Miscellaneous

  • These Terms constitute the entire agreement between you and Genesis LLC regarding the Service.
  • If any provision is found to be unenforceable, the remaining provisions will continue in effect.
  • Our failure to enforce any right or provision does not constitute a waiver.
  • You may not assign or transfer these Terms without our prior written consent.
